Terms of Service

Please review these Terms carefully before engaging Zaynosoft for software engineering services.

1Scope of Engineering Services & Engagement

Zaynosoft provides bespoke software development, SaaS platform engineering, mobile application development (iOS & Android), backend architecture, and database infrastructure. All project deliveries are governed by an agreed Statement of Work (SOW) or sprint milestone agreement defining technical features, deliverables, sprint timelines, and payment schedules.

2100% Intellectual Property & Source Code Ownership

We believe in absolute client ownership. Upon receipt of full settlement for the agreed deliverables or milestones:

  • Full Code Assignment: The Client irrevocably receives 100% ownership of all custom source code, repository commits, schemas, user interface assets, and custom logic created for the project.
  • Third-Party / Open Source Libraries: Standard open-source libraries (e.g., React, Next.js, MIT-licensed utilities) remain subject to their respective open-source licensing.

3Agile Milestones, Sprint Reviews & Acceptance

To ensure total transparency and control, projects are delivered through structured, testable sprints. For each milestone:

  • Zaynosoft deploys working builds to a dedicated staging environment or provides interactive test builds for client verification.
  • The Client has a standard 7 business-day review window to test the milestone against the agreed criteria.
  • Any verified defects, bugs, or scope deviations are rectified promptly without additional cost during this sprint cycle.

4Client Obligations & Asset Provisioning

To maintain sprint velocity and prevent project delays, the Client agrees to provide necessary brand assets, API credentials (e.g., OpenAI, Stripe, Firebase), and domain/DNS access in a timely manner. Project delivery schedules are contingent upon reasonable responsiveness during sprint feedback sessions.

5Third-Party Services & Cloud Infrastructure

All third-party operational costs—including AWS/GCP hosting fees, Supabase, domain registration, Apple Developer ($99/yr), Google Play Console ($25), OpenAI API usage, and Stripe processing fees—are the direct financial responsibility of the Client and are billed to the Client's accounts directly.

615-Day Post-Launch Warranty Period

Every project delivered by Zaynosoft includes a complimentary 15-day post-launch warranty period. During this window, our engineering team fixes any unforeseen bugs, logic glitches, or deployment issues related to the original scope at zero additional cost.

7Limitation of Liability

In no event shall Zaynosoft be liable for indirect, incidental, or consequential damages, including loss of business revenue or data, resulting from external third-party outages (e.g. AWS regional downtime, third-party API deprecations). Zaynosoft's aggregate liability under any contract is strictly capped at the total amount paid by the Client under the specific Statement of Work.

8Termination & Handover

Either party may terminate an engagement with written notice. Upon termination, Zaynosoft will conduct an orderly offboarding and transfer all completed code and work product up to the settled milestone date.
